By accessing or using the website at stratainfra.com (the "Site") operated by Strata Infrastructure Partners LLC ("Strata," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site.

Strata is an infrastructure advisory firm that connects data center developers, general contractors, and specialized trade contractors. Our services include monitoring public infrastructure signals, coordinating trade partner introductions, and facilitating project access for qualified contractors. The Site provides information about our services and allows trade contractors to register for inclusion in our network.

3. Trade Partner Registration

3.1 Eligibility

By submitting a trade partner registration, you represent that: (a) you are authorized to act on behalf of the company you are registering; (b) the information you provide is accurate and complete; and (c) your company holds all required licenses and certifications for the trade services you claim to provide.

3.2 No Guarantee

Submission of a registration does not guarantee acceptance into our trade partner network. Strata reviews all registrations and reserves the right to accept or decline any applicant at its sole discretion.

3.3 Accuracy of Information

You agree to provide accurate, current, and complete information during registration and to update your information promptly if it changes. Strata is not responsible for any consequences arising from inaccurate or outdated information you provide.

4. Introductions and Referrals

4.1 Nature of Service

Strata facilitates introductions between trade partners and project stakeholders (developers, general contractors, owners/operators). Strata is not a party to any contract between trade partners and project stakeholders and assumes no liability for the performance, quality, or outcome of any work resulting from an introduction.

4.2 No Guarantee of Opportunities

Strata does not guarantee that any registered trade partner will receive introductions, opportunities, or contract awards. The availability and frequency of opportunities depends on market conditions, project timelines, and stakeholder requirements.

4.3 Referral Fees

Trade partners who receive introductions resulting in awarded contracts may be subject to referral fee arrangements as specified in a separate Trade Partner Referral Agreement. No referral fee obligations arise solely from registration on this Site.

5. Intellectual Property

All content on this Site, including text, graphics, logos, images, and software, is the property of Strata Infrastructure Partners LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this Site without our prior written consent.

6. Prohibited Uses

You agree not to:

• Use the Site for any unlawful purpose or in violation of any applicable laws
• Submit false, misleading, or fraudulent information through any form on the Site
• Attempt to gain unauthorized access to any portion of the Site or its systems

STRATA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. INFORMATION ABOUT PROJECTS AND OPPORTUNITIES IS DERIVED FROM PUBLIC SOURCES AND MAY NOT BE ACCURATE, COMPLETE, OR CURRENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATA INFRASTRUCTURE PARTNERS LLC, ITS MEMBERS, OFFICERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR OUR SERVICES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST CONTRACTS, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY. STRATA'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO STRATA, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Strata Infrastructure Partners LLC and its members, officers, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Site; (b) your breach of these Terms; (c) any information you submit through the Site; or (d) your violation of any applicable law or the rights of a third party.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in the State of Texas under the rules of the American Arbitration Association. Each party shall bear its own costs and attorneys' fees unless the arbitrator determines otherwise.

11. Termination

We reserve the right to suspend or terminate your access to the Site at any time, with or without cause, and with or without notice. Upon termination, your right to use the Site ceases immediately. Provisions that by their nature should survive termination (including indemnification, limitation of liability, and dispute resolution) shall survive.
